An Application for registration of amalgamation (Companies Form 37) is filed to the Registrar under section 289 of the Companies Act No. 10 of 2017. Two or more companies may amalgamate and continue as one of the companies in the amalgamation or as an entity incorporated under the Act. A record of merged or amalgamated companies is kept at PACRA. This procedure applies to all Companies undergoing amalgamation and merging. Business Names cannot be amalgamated.

What do I need for Amalgamation?

  • Special resolutions;
  • A proposal for amalgamation by the amalgamating companies which should comply with the provisions of Sections 283 and 284, respectively;
  • Clearance from the Competition and Consumer Protection Commission (CCPC);
  • Statutory Declaration for solvency test for both companies
